PixaMed Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you and Pixameter Corp., a Delaware corporation ("Pixameter," "PixaMed," "we," "us," or "our"), governing access to and use of our software platforms, applications, and related services (collectively, the "Services"). Please read them carefully. If you do not agree to these Terms, do not access or use the Services.

The Services are professional tools intended for use by licensed healthcare organizations and the personnel they authorize. They are not offered to, or intended for, the general public or individual consumer self-registration.


1. Definitions

  • "User," "you," or "your" means the individual accessing the Services and, where that individual acts on behalf of an organization, the organization on whose behalf they act.
  • "Customer" means the healthcare organization that licenses the Services and provisions accounts for its authorized Users.
  • "Services" means the PixaMed software platforms, web applications, and mobile applications, together with related documentation, analysis, reporting, integration, support, and hosting services that we make available.
  • "Your Content" means data, text, images, measurements, records, and other materials that you or your Customer submit to or generate through the Services, including patient information.
  • "PixaMed Content" means software, text, graphics, interfaces, trademarks, logos, and other materials owned by us or our licensors and made available through the Services.
  • "Customer Agreement" means any master services agreement, order form, subscription, or other written agreement between Pixameter and a Customer governing the Customer's use of the Services.
  • "BAA" means a Business Associate Agreement entered into between Pixameter and a Customer under the Health Insurance Portability and Accountability Act ("HIPAA").

2. Acceptance of These Terms

By accessing or using the Services, you represent that you have the authority and legal capacity to enter into these Terms, individually and (if applicable) on behalf of the organization you represent. You agree that these Terms, and related communications, may be provided and concluded electronically. We may update these Terms as described in Section 19; continued use after an update constitutes acceptance of the revised Terms.

3. Eligibility and Permitted Users

You must be at least 18 years of age and of the age of majority in your jurisdiction to use the Services. Accounts are provisioned by a licensing Customer; the Services are not available for individual consumer self-registration. You may use the Services only on behalf of, and for the internal professional purposes of, the Customer that authorized your access, and in compliance with all applicable laws and the Customer's policies.

4. No Medical Advice — Decision Support Only

THE SERVICES AND ALL INFORMATION THEY PRODUCE ARE PROVIDED FOR CLINICAL DECISION-SUPPORT PURPOSES ONLY AND ARE NOT INTENDED TO REPLACE CLINICAL JUDGMENT FOR PATIENT CARE. Any output, measurement, classification, or other information generated by the Services must be independently reviewed and validated by a licensed, qualified healthcare professional before being relied upon for any clinical purpose.

While the Services are derived from medical research and literature, we do not guarantee the correctness, completeness, or currency of any information they produce. The User assumes sole responsibility for any decision made or action taken based on the Services. Neither Pixameter nor any party involved in creating, producing, or delivering the Services shall be liable for any clinical decision, diagnosis, treatment, or outcome arising from use of or reliance on the Services.

5. License Grant

Subject to these Terms and any applicable Customer Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your authorized professional purposes during the term of the applicable license. All rights not expressly granted are reserved to us and our licensors.

6. Customer Agreements and Order of Precedence

Where a Customer Agreement or BAA exists between Pixameter and your Customer, that agreement governs the Customer's licensed use of the Services. In the event of a conflict between these Terms and a signed Customer Agreement or BAA, the Customer Agreement or BAA controls with respect to its subject matter. With respect to Protected Health Information, the BAA controls.

7. HIPAA and Protected Health Information

For Customers that are HIPAA Covered Entities or their Business Associates, Pixameter acts as a Business Associate with respect to Protected Health Information ("PHI") processed through the Services. Pixameter's handling of PHI is governed by the applicable BAA. Customers are responsible for ensuring they have appropriate authority and legal basis to submit PHI to the Services and for their own compliance obligations as Covered Entities. Patients with questions about their health information should contact their healthcare provider.

8. Acceptable Use

You agree not to: (a) use another person's account or share your credentials; (b) attempt to gain unauthorized access to the Services or related systems, or disrupt or compromise their security or integrity; (c) introduce malware or other harmful code; (d) infringe the intellectual property, privacy, or other rights of any party; (e) copy, frame, mirror, or republish PixaMed Content except as expressly permitted; (f) reverse engineer, decompile, disassemble, or attempt to derive source code from the Services, except to the extent this restriction is prohibited by law; (g) modify or create derivative works of the Services; (h) rent, lease, lend, sell, sublicense, or commercially exploit the Services; (i) access the Services to build or assist a competing product, or for benchmarking or competitive analysis; (j) systematically extract or harvest data, or programmatically create accounts; or (k) use the Services in violation of any applicable law or regulation. You are responsible for all activity conducted under your account.

9. Accounts and Security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate registration information, keep it current, and notify us promptly of any unauthorized use at support@pixameter.com. Account provisioning, suspension, and deprovisioning are managed in coordination with your Customer.

10. Your Content and Intellectual Property

As between you and Pixameter, your Customer retains ownership of Your Content, subject to the applicable Customer Agreement and BAA. You grant us the limited rights necessary to host, process, transmit, and display Your Content solely to provide, secure, and support the Services. We and our licensors retain all rights in the Services and PixaMed Content. We may use aggregated or de-identified data derived from use of the Services as permitted by the applicable BAA and applicable law.

11. Privacy

Our collection and use of information through the Services is described in our Privacy Policy, available at https://www.pixamed.com/privacypolicy and incorporated into these Terms by reference.

12. Third-Party Services and Integrations

The Services may offer optional integrations with third-party systems, including electronic medical record platforms, which a Customer may configure at its direction. We are not responsible for third-party systems, their availability, or their content, and your use of them is subject to their own terms. Use of any third-party services is at your own risk.

13. Fees

Fees, payment terms, and subscription scope are set out in the applicable Customer Agreement or order. You are responsible for any internet, data, and device costs incurred in connection with your use of the Services.

14. Disclaimers

NO DATA TRANSMISSION OVER THE INTERNET CAN BE GUARANTEED TO BE COMPLETELY SECURE. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, PIXAMETER AND ITS REPRESENTATIVES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. YOUR USE OF THE SERVICES IS AT YOUR OWN DISCRETION AND RISK.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PIXAMETER OR ITS REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PIXAMETER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID TO PIXAMETER FOR THE APPLICABLE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless Pixameter and its representatives from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your violation of any law or third-party right, or your use of the Services.

17. Term, Suspension, and Termination

We may modify, suspend, or discontinue all or part of the Services at any time in our reasonable discretion. We or your Customer may suspend or terminate your access for breach of these Terms or as provided in the applicable Customer Agreement. Upon termination, your license to use the Services ends. Handling of Your Content following termination is governed by the applicable Customer Agreement and BAA. Sections that by their nature should survive termination (including Sections 4, 10, 14, 15, 16, 18, and 19) survive.

18. Dispute Resolution — Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY; IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be seated in Delaware, conducted in English, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver. Disputes shall be resolved only on an individual basis. You and Pixameter waive any right to bring or participate in a class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one party's claims or preside over any form of representative proceeding.

Exceptions. Either party may (a) bring an individual claim in small-claims court, and (b) seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information. To the extent any dispute is not subject to arbitration, it shall be brought exclusively in the state or federal courts located in Delaware, and the parties consent to the personal jurisdiction of those courts.

19. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The Services are intended for use in the United States only; we make no representation that the Services are appropriate or available for use elsewhere.

20. Changes to These Terms

We may amend these Terms from time to time. When we do, we will revise the "Last updated" date and, where appropriate, provide notice. Continued use of the Services after changes take effect constitutes acceptance.

21. Mobile Applications and the Apple App Store

If you obtain a PixaMed application through the Apple App Store, you acknowledge that these Terms are between you and Pixameter only, not Apple, and that Apple is not responsible for the application or its content. Apple has no obligation to provide maintenance or support for the application. To the maximum extent permitted by law, Apple has no warranty obligation with respect to the application. Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to your license to the application and may enforce them against you. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

22. General

These Terms, together with any applicable Customer Agreement, BAA, and the Privacy Policy, constitute the entire agreement between you and Pixameter regarding the Services and supersede prior agreements on the subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
